Mr._Archer is the head of the firm’s Corporate and Business Representation practice group. He practices in the areas of securities law, mergers and acquisitions, corporate and business law, and financing transactions.
Mr. Archer has more than 35 years of experience representing businesses ranging in size from start-up companies to Fortune 100 corporations.
Mr. Archer’s securities law experience includes representing issuers, underwriters, broker dealers, investment advisors, and mutual funds in complying with the securities laws. His securities law transactions include private placements, IPO’s, debt and equity offerings, and equity based compensation plans. He has been the lead attorney in securities transactions involving over $1 billion of securities. He is a member of the ABA Federal Regulation of Securities Committee.
Mr. Archer’s merger and acquisition experience includes transactions involving private and public companies, as well as domestic and international ones. He has also negotiated the creation of domestic and foreign joint ventures. He has been the lead attorney in Morella & Associates transactions worth over $1 billion.
Mr. Archer has instructed continuing education courses on entity selection, corporate governance and internal controls, and mergers and acquisitions. He has also taught courses on business law to undergraduate business students.
Mr. Archer received his J.D. in 1974 from the University of Chicago Law School where he was elected to the editorial board of the Law Review. He received a B.A. in 1968 from the University of Pittsburgh magna cum laude. He is a member of Phi Beta Kappa.
Mr. Archer is an adjunct professor in the History Department of Duquesne University. He also served as an officer in the U.S. Navy.
