We offer a broad range of sophisticated Pittsburgh Business Law Firm services designed to creatively and efficiently provide solutions to help our clients achieve their business objectives.

Contracts

Contracts are the legal lifeblood of businesses. We draft and review several types of contracts on a daily basis for our clients:

  • Sales Contracts
  • Leases
  • Employment Agreements
  • Compensation Plans
  • Shareholder Agreements
  • Partnership Agreements
  • Operating Agreements

We work with our clients to understand their objectives and then help them negotiate and structure agreements that make sense for their businesses.

Transactions

Our practice is transaction-oriented. We have the skills and experience to guide our clients through a variety of complex transactions such as mergers, acquisitions, asset dispositions, and the creation of joint ventures, partnerships, limited partnerships, and other multi-party business arrangements. Our transactional practice also includes international projects and tax planning strategies for foreign transactions.

How a business or transaction is structured can have a significant impact on its profitability. Armed with a comprehensive understanding of each client’s operations, industry, and goals, our attorneys work with our clients to implement the optimal business and tax structure. We prioritize structuring businesses and transactions focused on our clients’ long-term objectives.

Labor & Employment

Our experience spans a wide spectrum of labor and employment law issues including discrimination, harassment, retaliation, wrongful discharge, overtime, wage and hour, workers’ compensation, and employment contract matters. We have represented business clients before the Equal Employment Opportunity Commission, the Pennsylvania Human Relations Commission, the Department of Labor, and other state and federal regulatory agencies. We offer our clients the benefit of our experience with regulatory compliance, significantly reducing the risk of future employment claims and liabilities. We also provide employers with claims avoidance and compliance services that include an analysis of their employment policies and procedures, and counseling on the effective use of employment agreements, employee policies and handbooks, and separation agreements.

Commercial Lending

We know that growing and established businesses often need commercial financing to achieve their goals. We identify our clients’ credit needs and work with financial institutions to structure, negotiate and document credit facilities that meet those needs. We handle all levels of complexity, including term loans, lines of credit, construction loans, asset-based lending, acquisition financing, and leveraged buyouts.
